Terms of Service

By completing the subscription process, you confirm that you are at least 18 years of age, have the legal authority to bind the organization on whose behalf you are subscribing, and have read and agree to these Terms and our Privacy Policy.

These Terms form a binding legal agreement between you and Tire Data Metrics, LLC. If you are subscribing on behalf of a company or other legal entity, references to “you” include both you individually and that entity, and you represent that you have authority to bind that entity.

TireGuy App is a subscription-based fleet tire analytics platform. The service provides:

• Cost of Running Mile (CORM) calculation and analysis based on data you supply
• 30-, 60-, and 90-day spend forecasting for your tire budget
• Brand and model comparison reports across your fleet
• Industry benchmarking against anonymized, aggregated fleet data
• Retread and light truck tire coverage and analytics
• Verified fleet reports for internal review and vendor negotiations

All analytics are based on data you upload. The accuracy and usefulness of your reports depend directly on the completeness and accuracy of the records you provide. TDM does not independently verify your fleet data.

TDM reserves the right to modify, enhance, or discontinue features of the service at any time. We will provide reasonable notice of changes that materially reduce the core functionality of your active subscription tier.

TireGuy App is available exclusively through paid subscriptions. There are no free tiers or complimentary access periods.

To subscribe, you must create an account with accurate and complete information. You agree to:

• Provide truthful, current, and complete registration information and keep it up to date
• Maintain the confidentiality of your login credentials and not share them with others outside your organization
• Notify TDM promptly at if you suspect unauthorized access to your account
• Accept responsibility for all activity that occurs under your account, whether or not authorized by you

One subscription account corresponds to one subscribing organization. Creating multiple accounts to circumvent unit caps or pricing tiers is a material breach of these Terms and grounds for immediate termination without refund.

You may use TireGuy App solely for your own internal fleet management and tire analytics purposes. You agree not to:

• Resell, sublicense, or otherwise make the service available to any third party without TDM’s written consent
• Reverse engineer, decompile, disassemble, or attempt to derive source code or underlying algorithms from the service
• Use automated scripts, bots, or scrapers to extract data from the platform
• Upload data you do not own or have the right to use, or data that is intentionally falsified
• Interfere with or disrupt the integrity, security, or performance of the service or its infrastructure
• Attempt to gain unauthorized access to any part of the service, its servers, or related systems
• Use the service in any manner that violates applicable law, including export control or data protection regulations

TDM reserves the right to suspend access immediately upon detection of conduct that violates this section, pending investigation.

You retain full ownership of all fleet data, tire purchase records, mileage logs, and other content you upload to TireGuy App (“Your Data”). By using the service, you grant TDM a limited, non-exclusive, non-transferable license to store, process, and use Your Data solely to provide and improve the service for your account.

• TDM will not sell, rent, or share Your Data with third parties except as described in our Privacy Policy.
• TDM will not use Your Data to train AI or machine-learning models that are shared across unaffiliated customers.
• Industry benchmarking features use only anonymized, aggregated data; your fleet’s individual records are never identifiable to other subscribers.
• You are solely responsible for the accuracy of Your Data and for ensuring you have the right to upload it.

Upon cancellation or termination, Your Data remains accessible for 90 days as described in our Privacy Policy.

All rights, title, and interest in TireGuy App — including the software, CORM methodology, user interface, design, algorithms, documentation, and brand assets — are and remain the exclusive property of Tire Data Metrics, LLC. These Terms do not transfer any ownership rights to you.

Reports, exports, and analytics outputs generated from Your Data are yours to use for your internal business purposes. You may not reproduce or redistribute TireGuy App’s software, UI components, or proprietary methodology in any form.

If you provide feedback, suggestions, or ideas about the service, you grant TDM a royalty-free, perpetual license to use that feedback without obligation or attribution.

TireGuy App is provided “as is” and “as available.” To the fullest extent permitted by applicable law, TDM expressly disclaims all warranties, express or implied, including:

• Any implied warranty of merchantability, fitness for a particular purpose, or non-infringement
• Any warranty that the service will be uninterrupted, error-free, or free of harmful components
• Any warranty regarding the accuracy, completeness, or reliability of analytics outputs

CORM calculations, spend forecasts, and benchmarking reports are analytical tools based on the data you provide. They do not constitute professional procurement, financial, or legal advice. Purchasing decisions remain solely your responsibility.

TDM does not warrant that any specific cost savings, performance improvements, or business outcomes will result from use of the service.

To the fullest extent permitted by applicable law, TDM’s total cumulative liability to you for any claims arising from or related to these Terms or your use of TireGuy App will not exceed the total subscription fees you paid to TDM in the three months immediately preceding the event giving rise to the claim.

In no event will TDM be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including:

• Loss of revenue, profits, or business opportunities
• Loss or corruption of data
• Costs of procuring substitute services
• Business interruption

These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if TDM has been advised of the possibility of such damages. Some jurisdictions do not allow exclusion of certain warranties or limitation of certain damages; in such jurisdictions our liability is limited to the maximum extent permitted by law.

You agree to defend, indemnify, and hold harmless Tire Data Metrics, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use of TireGuy App in violation of these Terms
• Your Data, including any claim that Your Data infringes or misappropriates a third party’s rights
• Your violation of any applicable law or regulation
• Any misrepresentation you make in connection with your account or subscription

TDM reserves the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with TDM’s defense of that claim.

By you. You may cancel your subscription at any time from Account Settings. Access continues through the end of your current paid billing period.

By TDM. TDM may suspend or terminate your account and subscription:

• Immediately and without notice for material breach of these Terms, including violations of the Acceptable Use section (Section 05)
• With 30 days’ notice for any reason, with a pro-rated refund of prepaid fees covering the unused period after the termination date
• Immediately if required to do so by law or court order

Effect of termination. Upon termination, your right to access the service ends. Your Data remains accessible for export for 90 days following termination, consistent with our Privacy Policy. Sections 07, 08, 09, 10, and 12 of these Terms survive termination.

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the state and federal courts located in Florida for any dispute arising under or related to these Terms.

Class action waiver. Any dispute between you and TDM must be brought in your individual capacity only. You waive any right to bring or participate in a class action, class arbitration, or representative proceeding against TDM.

Informal resolution. Before initiating any legal action, you agree to contact TDM at and give us 30 days to attempt to resolve the dispute informally. This requirement does not apply to claims for injunctive relief.

TDM may update these Terms from time to time. When we do:

• We will post the revised Terms on this page with an updated effective date.
• For material changes, we will send notice to your account email address at least 30 days before the changes take effect.
• If you object to a material change, you may cancel your subscription before the new Terms take effect; continued use after the effective date constitutes acceptance.

Non-material changes (such as clarifications, formatting updates, or corrections that do not alter your rights) may take effect immediately upon posting.
